SUPPLIER CODE OF CONDUCT

1. Introduction

Autonomous Health sets high standards for how we operate, combining creative agility with clinical and commercial integrity. This Supplier Code of Conduct (the "Code") outlines the minimum behaviors, ethical standards, and operational practices we expect from our suppliers, vendors, and delivery partners.

We expect all suppliers to adhere to the principles in this Code, alongside the commercial terms of our agreements and all applicable laws and regulations in the jurisdictions where they operate. Suppliers are required to apply equivalent standards throughout their own supply chains.

2. Our People & Human Rights

Suppliers must comply with all national and international labor laws and human rights standards:

Fair Treatment & Equal Opportunity: Suppliers must not discriminate in hiring, compensation, training, promotion, termination, or retirement based on race, national origin, religion, age, disability, gender, marital status, sexual orientation, union membership, or political affiliation.

Respectful Workplace: Suppliers must maintain a workplace free from harassment, intimidation, or violence. All workers must be treated with dignity and respect. Physical, verbal, sexual, or psychological abuse is strictly prohibited.

Human Rights & Child Labor: Respect for human rights is non-negotiable. Suppliers must strictly adhere to local minimum working age laws and prohibit child labor or any practices that harm child development.

Forced Labor & Trafficking: Suppliers must not use forced, bonded, indentured, or trafficked labor. All employment must be voluntary, and workers must be free to leave employment in accordance with statutory notice periods. Workers must not be required to surrender passports or identity documents as a condition of employment.

Fair Compensation & Working Hours: Suppliers must pay workers at or above local minimum wage requirements and provide all legally mandated benefits. Overtime must be voluntary and compensated according to legal rates.

3. Business Integrity & Legal Compliance

We hold ourselves to the highest standards of honesty, transparency, and professional conduct, expecting the same from our business partners

Anti-Bribery & Corruption: We maintain zero tolerance for bribery, extortion, or corruption. Suppliers must not offer, promise, give, request, or accept bribes, kickbacks, or improper inducements directly or indirectly. Facilitation payments (small payments to expedite routine government actions) are strictly prohibited.

Gifts & Hospitality: Exchanging modest business entertainment or nominal gifts must strictly serve legitimate business purposes. Suppliers must never offer gifts, hospitality, or entertainment that could improperly influence, or appear to influence, Autonomous Health’s business decisions.

Prevention of Tax Evasion: Suppliers must maintain reasonable procedures to prevent the facilitation of tax evasion within their own operations and supply chains when performing services for or on behalf of Autonomous Health.

Conflicts of Interest: Suppliers must disclose any actual, potential, or perceived conflicts of interest that could impact their objectivity or impartiality in doing business with us.

Data Protection & Confidentiality: Suppliers must safeguard confidential information, intellectual property, and personal data in strict compliance with applicable privacy laws (including UK GDPR, EU GDPR, and POPIA). External partners must implement appropriate technical and organizational security measures to protect data against unauthorized access.

4. Health, Safety & Environmental Responsibility

Health & Safety: Suppliers must provide a safe and healthy working environment, implementing proactive hazard controls, safety training, and risk management procedures to prevent workplace injuries.

Environmental Impact: We encourage sustainable business practices. Suppliers must comply with all local environmental regulations, minimize resource consumption, and avoid using materials harmful to the environment.

Community Engagement: We support positive economic and social contributions within the communities where we operate and encourage our supply partners to maintain similar civic engagement.

5. Adherence & Governance

Suppliers must ensure their personnel and subcontractors are informed of and conform to the expectations outlined in this Code. Autonomous Health reserves the right to verify compliance and request reasonable documentation to confirm adherence. Material breaches of this Code may lead to the immediate termination of the business relationship.

4. Anti-Slavery Policies & Due Diligence

We manage risk through established internal policies, contractual requirements, and rigorous partner selection:

Supplier Code of Conduct: All contractors, vendors, and strategic partners are required to adhere to our Supplier Code of Conduct, which explicitly prohibits child labor, forced labor, human trafficking, and unfair treatment.

Contractual Terms: Our standard master service agreements require vendors to comply with all applicable anti-slavery legislation, including the UK Modern Slavery Act 2015.

Fair Recruitment & HR Policies: We comply fully with UK and South African labor legislation. All team members undergo legal right-to-work checks prior to onboarding. We ensure fair compensation, voluntary working hours, and equal opportunities across all roles.

Whistleblowing & Reporting: We maintain open channels for employees, freelancers, and contractors to raise concerns regarding unethical practices, safety violations, or compliance breaches confidentially without fear of retaliation.

5. Supplier Assessment & Ongoing Monitoring

We assess potential suppliers during the onboarding process. Should we engage third parties operating in higher-risk geographies or sectors (such as temporary low-skilled labor or physical event assembly), we perform heightened due diligence. This includes evaluating their labor standards, requesting proof of legal compliance, and reviewing their anti-trafficking policies.

We continuously review our procurement workflows to identify potential risks and maintain transparency across all client deliverables.
